Terms of Service

These Terms of Service ("Terms") govern your access to and use of Channlr, a WhatsApp Business API platform operated by FusionCore Africa ("we", "us", "our"). By creating an account or using the platform, you agree to be bound by these Terms. If you do not agree, do not use Channlr.

1. Definitions

"Platform"The Channlr web application, API, SDKs, and all related services.
"User" or "You"Any individual or organization that creates an account on Channlr.
"Organization"A business entity registered on Channlr that may have multiple team members.
"End User"A recipient of messages sent through Channlr (your customer).
"App"A workspace within Channlr linked to a WhatsApp Business Account.
"API Key"A credential issued to you for programmatic access to Channlr's API.
"Credits"Prepaid balance used to pay for messages and platform usage.

2. Account registration

  • You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
  • You must provide accurate, complete, and current information during registration. You are responsible for keeping your account details up to date.
  • You are responsible for all activity under your account. Keep your password and API keys confidential.
  • Each individual may only create one personal account. Organizations may create multiple Apps within a single account.
  • We reserve the right to refuse registration, suspend, or terminate accounts at our discretion if we believe a violation of these Terms has occurred.

3. Use of the platform

You agree to use Channlr only for lawful purposes and in compliance with all applicable laws, regulations, and Meta's WhatsApp Business policies. You must NOT:

  • Send unsolicited or spam messages to end users who have not opted in.
  • Use the platform to send abusive, threatening, defamatory, or illegal content.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform.
  • Share your account credentials or API keys with unauthorized third parties.
  • Use automated tools to scrape, crawl, or overload the platform beyond normal API usage.
  • Circumvent rate limits, billing controls, or other platform safeguards.
  • Impersonate another person or misrepresent your identity or affiliation.

4. WhatsApp Business API

Channlr provides access to the WhatsApp Business Cloud API as a Meta Business Solution Provider. By using this integration you additionally agree to:

  • Meta's WhatsApp Business Terms of Service and Commerce Policy.
  • Only send messages to end users who have opted in to receive communications from your business.
  • Use approved message templates for initiating conversations outside the 24-hour customer service window.
  • Maintain a high quality rating on your WhatsApp Business Account. Channlr may restrict messaging if your quality rating drops to Low.
  • Not use WhatsApp for prohibited content categories as defined by Meta, including but not limited to: gambling, alcohol, tobacco, weapons, adult content, and multi-level marketing.
Note: Channlr is not responsible for Meta's decisions regarding template approvals, account quality ratings, or account bans. These are governed by Meta's policies.

5. Messaging policies

  • You are solely responsible for the content of all messages sent through Channlr, including template messages, bot responses, and manual messages.
  • You must obtain and maintain valid consent from end users before sending them messages. You must honour opt-out requests promptly.
  • You must not send messages that violate the Kenya Information and Communications Act, the Kenya Data Protection Act (2019), or any other applicable legislation.
  • Channlr reserves the right to suspend your messaging capabilities if we detect high spam report rates, low delivery quality, or violations of Meta's policies.

6. Billing and payments

  • Channlr operates on a prepaid credit system. You purchase credits which are consumed as you send messages and use platform features.
  • Postpaid billing is available for Enterprise customers by arrangement. Postpaid accounts receive monthly invoices due within 30 days of issuance.
  • All payments are processed through Paystack. By making a payment you also agree to Paystack's terms of service.
  • Prices are displayed in USD. Local currency equivalents (e.g. KES) are shown as estimates and may vary based on exchange rates at the time of payment.
  • Credits do not expire while your account is active. If your account is terminated for violation of these Terms, unused credits are forfeited.
  • We do not offer refunds for consumed credits. Refunds for unused credits may be considered on a case-by-case basis at our discretion.
  • We may change pricing at any time. Price changes take effect 30 days after notice is provided via email and dashboard notification.

7. API usage and rate limits

API access is provided via API keys generated in your dashboard. Your usage is subject to rate limits based on your plan:

  • Exceeding rate limits will result in HTTP 429 responses. Persistent abuse may lead to temporary or permanent API key revocation.
  • API keys are confidential. You must not share them publicly (e.g. in client-side code, public repositories, or forums).
  • You may generate separate API keys for staging and production environments. Each key can be configured with an expiry date.

8. Intellectual property

  • Channlr, its logo, design, and all related intellectual property are owned by FusionCore Africa. You may not copy, modify, or distribute any part of the platform without written permission.
  • Content you create on the platform (templates, bot configurations, contact lists) remains your property. You grant us a limited licence to use this content solely to provide the service.
  • We may use your company name and logo in our marketing materials (e.g. customer logos on our website) unless you notify us in writing that you do not consent.

9. Data and privacy

Your use of Channlr is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. The Privacy Policy is incorporated into these Terms by reference. You acknowledge that you have read and understood the Privacy Policy.

10. Uptime and availability

  • We target 99.9% uptime for the Channlr platform and API. This is a target, not a guarantee, unless you have an Enterprise SLA agreement.
  • Scheduled maintenance windows will be announced at least 48 hours in advance via email and dashboard notification.
  • We are not liable for downtime caused by Meta's WhatsApp API, Paystack, or other third-party service outages.
  • In the event of an unplanned outage, we will communicate status updates through our status page and email.

11. Limitation of liability

To the maximum extent permitted by law, FusionCore Africa and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use Channlr.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Channlr in the 12 months preceding the claim.
  • We are not liable for message delivery failures caused by Meta, carrier networks, or incorrect recipient phone numbers.
  • We are not liable for the content of messages you send or the actions of your AI bots.

12. Termination

  • You may terminate your account at any time by deleting it from Settings → Account → Delete Account.
  • We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law.
  • Upon termination, your data will be handled as described in Section 7 of our Privacy Policy. We will retain legally required records (invoices, payment data) for 7 years.
  • Termination does not relieve you of any outstanding payment obligations.

13. Dispute resolution

  • These Terms are governed by the laws of Kenya.
  • Any dispute arising from or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
  • If negotiation fails, disputes shall be submitted to binding arbitration under the Nairobi Centre for International Arbitration (NCIA) rules.
  • You agree to waive any right to a jury trial or participation in a class action lawsuit.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last updated" date at the top of this page.
  • We will send an email notification to your registered email address.
  • We will display a notice in the Channlr dashboard for 30 days.

Continued use of Channlr after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you may terminate your account.
